Certain healthcare services facilitated through the RxCollective platform are provided by independent licensed healthcare professionals and professional medical entities. Additional terms, consents, notices, and privacy practices may apply to those healthcare services.

1. About RxCollective

RxCollective operates as a non-clinical Management Services Organization ("MSO") and healthcare technology platform.

RxCollective provides healthcare organizations with integrated technology and operational infrastructure that may include:

• Technology and platform infrastructure
• Patient intake and workflow infrastructure
• Administrative and operational support
• Provider coordination
• Scheduling and communications
• Billing and collection support
• Prescription-related workflow support
• Pharmacy coordination
• Customer and technical support
• Other non-clinical healthcare management services

Healthcare organizations contract directly with RxCollective to access and utilize the RxCollective platform and its integrated service infrastructure.

2. Independent Clinical Services

RxCollective maintains contractual relationships with independent professional medical entities through which appropriately licensed healthcare professionals provide clinical and telemedicine services utilizing the RxCollective technology platform.

Clinical services are provided exclusively by appropriately licensed healthcare professionals affiliated with independent professional medical entities.

Depending on the applicable healthcare service, these healthcare professionals may:

• Review patient intake and medical information
• Establish an appropriate provider-patient relationship
• Conduct medical evaluations
• Communicate with patients as clinically appropriate
• Review relevant medical history
• Determine diagnoses
• Develop treatment plans
• Determine whether treatment is medically appropriate
• Determine whether a prescription should be issued
• Provide clinically appropriate follow-up care

All diagnosis, treatment, prescribing, and other clinical decisions are made independently by the applicable licensed healthcare professional in accordance with their professional judgment and applicable law.

RxCollective does not practice medicine, diagnose or treat patients, determine medical necessity, prescribe medications, or exercise control over the independent clinical judgment of healthcare professionals.

No provider-patient relationship is created between a patient and RxCollective solely through use of the RxCollective platform.

3. Pharmacy Services

RxCollective is not a pharmacy and does not manufacture, compound, prescribe, or dispense prescription medications.

Where an appropriately licensed healthcare professional determines that a prescription is medically appropriate, the RxCollective platform may facilitate the administrative transmission, routing, and coordination of prescription information with an appropriately licensed pharmacy.

The applicable pharmacy independently performs its professional and regulated functions, including, where applicable:

• Pharmacist review
• Prescription processing
• Medication preparation or compounding
• Dispensing
• Labeling
• Fulfillment
• Shipping or delivery
• Patient counseling and other pharmacy services

RxCollective does not control or interfere with the professional judgment of a pharmacist or dispensing pharmacy.

Access to the RxCollective platform or completion of a medical evaluation does not guarantee that a prescription will be issued or that a particular medication will be prescribed, dispensed, or available.

4. No Medical Advice From RxCollective

Information provided by RxCollective through its public-facing website is intended for general informational and business purposes and does not constitute medical advice, diagnosis, treatment, or prescribing.

RxCollective does not recommend or determine whether any particular medication, treatment, or therapy is appropriate for an individual patient.

Medical questions concerning a diagnosis, condition, medication, treatment, adverse reaction, or other clinical matter should be directed to an appropriately licensed healthcare professional.

The RxCollective platform is not intended for emergency medical care. If you believe you are experiencing a medical emergency, call 911 or seek immediate emergency medical assistance.

5. Eligibility and Account Access

Access to certain portions of the RxCollective platform may require an authorized account.

You agree to provide accurate, current, and complete information and to maintain the accuracy of information associated with your account.

You are responsible for maintaining the confidentiality of your username, password, authentication credentials, and other account security information.

You may not permit unauthorized persons to access your account and must promptly notify RxCollective if you become aware of unauthorized access, suspected compromise of your credentials, or another security incident affecting your account.

Healthcare services are available only where the applicable healthcare professional is appropriately licensed and legally permitted to provide such services.

6. Patient Information

Patients utilizing healthcare workflows supported by the RxCollective platform may be required to provide information necessary for an independent licensed healthcare professional to evaluate the patient and determine whether healthcare services are appropriate.

Such information may include:

• Identity and contact information
• Current physical location
• Date of birth
• Medical history
• Current and previous medications
• Allergies
• Symptoms
• Health conditions
• Relevant laboratory or diagnostic information
• Other information reasonably requested in connection with the applicable healthcare service

Patients are responsible for providing information that is accurate and complete to the best of their knowledge.

The ability of a healthcare professional to appropriately evaluate a patient may depend upon the completeness and accuracy of the information provided.

7. Telehealth Services

Healthcare services facilitated through the RxCollective platform may be delivered through telehealth.

Telehealth may involve electronic communications that allow a patient and healthcare professional in different locations to exchange medical information for purposes including evaluation, diagnosis, treatment, prescribing, follow-up care, and patient education.

Depending on applicable law and the healthcare professional's clinical determination, a telehealth encounter may involve synchronous audio/video communication, telephone communication, asynchronous communication, or other legally permitted technology.

The applicable healthcare professional determines whether telehealth is clinically appropriate for a particular patient or circumstance.

Telehealth has limitations and may not be appropriate for every medical condition or patient.

Patients may be required to review and accept a separate Telehealth Consent before receiving clinical services.

8. Prescriptions

RxCollective does not prescribe medications.

A prescription may be issued only by an appropriately licensed healthcare professional following an appropriate clinical evaluation and a determination, in the healthcare professional's independent professional judgment, that the prescription is medically appropriate and legally permissible.

Completion of an intake, consultation, or other healthcare workflow does not guarantee that a prescription will be issued.

The applicable licensed healthcare professional retains sole authority and responsibility for prescribing decisions.

The applicable licensed pharmacy retains independent authority and responsibility for dispensing decisions.

9. Compounded Medications

Where applicable, independent licensed pharmacies may dispense compounded medications pursuant to a valid prescription and applicable law.

Compounded drug products are not FDA-approved. The FDA does not verify the safety, effectiveness, or quality of compounded drugs before they are marketed.

Whether a compounded medication is medically appropriate for an individual patient is determined independently by the prescribing healthcare professional.

RxCollective does not manufacture or compound medications.

10. Payments and Billing

The RxCollective platform may provide technology and administrative infrastructure supporting payment, billing, and collection activities.

Depending upon the applicable arrangement, amounts processed or collected through the platform may relate to technology and administrative services, professional healthcare services, pharmacy services, or other disclosed services.

Where RxCollective collects amounts attributable to services furnished by an independent professional medical entity or other third party, RxCollective may perform such collection in an administrative capacity pursuant to applicable contractual arrangements.

Applicable pricing, payment obligations, subscription terms, cancellation terms, and refund conditions will be disclosed through the applicable healthcare organization, transaction, or service workflow.

By providing a payment method, you authorize the applicable payment processor to charge that payment method for amounts properly disclosed and authorized in connection with the applicable services.

11. Privacy and Protected Health Information

Use of the RxCollective website and platform is also subject to our Privacy Policy.

Certain information processed through the RxCollective platform may constitute Protected Health Information ("PHI") under the Health Insurance Portability and Accountability Act ("HIPAA") and other applicable healthcare privacy laws.

RxCollective maintains safeguards designed to protect PHI and handles such information in accordance with applicable law and contractual requirements.

Depending on the applicable healthcare arrangement and function being performed, additional privacy notices, including a healthcare provider's Notice of Privacy Practices, may apply.

Questions or requests concerning medical records maintained in connection with clinical services may need to be directed to the applicable healthcare provider or professional medical entity responsible for the patient's care.

12. Electronic Communications

By providing an email address, telephone number, or other electronic contact information, you consent to receiving communications relating to your account, requested services, administrative matters, appointments, healthcare workflows, transactions, and other service-related matters, subject to applicable law.

Electronic communications may include email, telephone, secure messaging, or SMS/text communications.

Electronic communications may carry privacy and security risks. You are responsible for providing accurate contact information and keeping such information current.

Where applicable, you may opt out of non-essential SMS communications by replying STOP.

Electronic communications should not be used to seek emergency medical assistance.

13. Business and Professional Users

Healthcare organizations, healthcare professionals, professional medical entities, pharmacies, and other professional users accessing RxCollective are responsible for maintaining all licenses, registrations, authorizations, approvals, and credentials required for their respective activities.

Nothing provided by RxCollective relieves a healthcare organization, healthcare professional, professional medical entity, pharmacy, or other regulated party of its independent professional, regulatory, or legal obligations.

Separate written agreements between RxCollective and business customers may govern additional aspects of their relationship.

If a separately executed agreement conflicts with these Terms regarding a business customer's use of RxCollective services, the applicable written agreement will control to the extent of that conflict.

14. Prohibited Use

You may not use the RxCollective website or platform to:

• Violate applicable federal, state, or local law
• Provide false, fraudulent, or materially misleading information
• Misrepresent your identity or professional credentials
• Access another person's account without authorization
• Share credentials with unauthorized persons
• Access patient or business information without authorization
• Circumvent platform security measures
• Introduce malicious software or harmful code
• Interfere with the operation or security of the platform
• Attempt unauthorized access to systems, accounts, or information
• Facilitate unlawful prescribing, dispensing, or healthcare activity
• Infringe the intellectual property, privacy, or other rights of another person
• Improperly scrape, extract, reproduce, or commercially exploit platform information or technology

RxCollective may restrict or suspend access where reasonably necessary to protect its platform, users, patients, business customers, or legal and regulatory obligations.

15. Intellectual Property

The RxCollective website, platform, software, interfaces, designs, trademarks, logos, text, graphics, documentation, and other proprietary materials are owned by or licensed to RxCollective and are protected by applicable intellectual property laws.

Subject to these Terms and any applicable written agreement, authorized users receive a limited, non-exclusive, non-transferable, revocable right to access and use the applicable services solely for their intended and authorized purposes.

No ownership interest in the RxCollective platform or intellectual property is transferred to users.

16. Third-Party Services

The RxCollective website and platform may contain links to or integrate with services provided by third parties, including independent healthcare providers, professional medical entities, pharmacies, laboratories, payment processors, technology providers, and other service providers.

These third parties operate independently and may maintain their own terms, privacy policies, professional obligations, and regulatory responsibilities.

RxCollective does not control the independent clinical judgment of healthcare professionals or the independent professional judgment of pharmacists.

17. Platform Availability

RxCollective seeks to maintain reliable access to its technology but does not guarantee that the website or platform will always be uninterrupted, error-free, or continuously available.

Access may be interrupted due to maintenance, software updates, technical failures, third-party service interruptions, security incidents, telecommunications failures, or circumstances beyond our reasonable control.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the RxCollective website, platform, and non-clinical services are provided on an "as is" and "as available" basis.

RxCollective does not guarantee:

• Any particular clinical outcome
• Eligibility for treatment
• That a prescription will be issued
• That a particular medication or treatment will be prescribed
• Medication availability
• That a pharmacy will accept or dispense a prescription
• Pharmacy fulfillment or shipping times
• Results from services provided by independent healthcare professionals
• Results from services provided by independent third parties

Nothing in these Terms excludes warranties, obligations, or rights that cannot lawfully be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, RxCollective will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from access to or use of, or inability to access or use, the RxCollective website, platform, or non-clinical services.

RxCollective is not responsible for independent diagnosis, treatment, prescribing, or other clinical decisions made by licensed healthcare professionals or independent dispensing decisions made by licensed pharmacies.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Additional limitations applicable to business customers may be contained in separately executed agreements.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless RxCollective and its officers, directors, employees, agents, affiliates, and licensors from third-party claims, liabilities, losses, damages, costs, and expenses arising from:

• Your material violation of these Terms
• Your unlawful or unauthorized use of the platform
• Your violation of applicable law
• Your infringement of another person's rights
• Fraudulent or unauthorized activity conducted through your account

Additional indemnification obligations applicable to business customers may be contained in separate written agreements.

21. Suspension and Termination

RxCollective may restrict, suspend, or terminate access to the website or platform where reasonably necessary to:

• Protect platform or information security
• Prevent fraud or unauthorized activity
• Address violations of these Terms
• Comply with applicable law or regulatory requirements
• Protect patients, healthcare professionals, customers, or other users
• Enforce applicable contractual obligations

Termination or suspension of services provided to a business customer may also be governed by the applicable written agreement.

22. Changes to These Terms

RxCollective may update these Terms from time to time to reflect changes to our technology, services, business practices, or legal requirements.

When these Terms are updated, we will revise the "Last Updated" date at the top of this page.

Continued use of the applicable services following the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

23. Governing Law

These Terms are governed by applicable United States federal law and the laws of the state applicable to RxCollective's operations and the particular contractual relationship, without regard to conflict-of-law principles, except where applicable law provides otherwise.

Separate agreements between RxCollective and business customers may establish specific governing law, venue, arbitration, or dispute-resolution requirements. Where applicable, the terms of those separately executed agreements will control.

24. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

25. Entire Agreement

These Terms, together with the RxCollective Privacy Policy and any policies or notices expressly incorporated by reference, govern use of the public website and applicable platform services.

For business customers, separately executed agreements with RxCollective may contain additional or different terms and will control where expressly provided.
